Why the change?

 In line with DDO regulatory obligations, we have introduced a new mandatory section on Target Market requirements. The change has been implemented on all application forms both online* and PDF versions.

 In addition, new Target Market Determination (TMD) documents have also been released.

Key changes are as follows:

  • Update to the Fees and Costs section to satisfy ASIC RG97 disclosure requirements;
  • Lowered the expenses cap for Quay Global Real Estate Fund (Unhedged) from 0.10% to 0.05%;
  • Increased drift limits for the Bennelong Concentrated Australian Equities Fund and Bennelong ex-20 Australian Equities Fund (from 2% to 4%) and for the Bennelong Twenty20 Australian Equities Fund (from 1% to 2%). This is to allow more flexibility to the Investment Manager around market movements;
  • Added wording around Liquidity Risk for the Bennelong Concentrated Australian Equities Fund and the Bennelong Australian Equities Fund;
  • Removed maximum 7% stock position limit for 4D Global Infrastructure Fund (Unhedged), 4D Global Infrastructure Fund (AUD Hedged)  and 4D Emerging Markets Infrastructure Fund: while the limit remains part of the internal investment guidelines, we have removed the hard limit;
  • Updated ESG related disclosure for 4D Global Infrastructure Fund (Unhedged), 4D Global Infrastructure Fund (AUD Hedged), 4D Emerging Markets Infrastructure Fund, Quay Global Real Estate Fund (Unhedged), Quay Global Real Estate Fund (AUD Hedged) and Touchstone Index Unaware Fund to align with more recently issued Responsible Investment policies.

Result of Kardinia Meeting of Members held on 27 April 2023

9 May 2023

On Thursday 27 April 2023 at 10am, a meeting of members of the Bennelong Kardinia Absolute Return Fund (ARSN 156 292 625) (Fund) was held at the Bennelong Funds Management Head office in 9 Queen Street, Melbourne to consider the following extraordinary resolution which was proposed in the notice of meeting dated 27 March 2023 (Notice of Meeting):

“that Bennelong Funds Management Ltd ABN 39 111 214 085 (Bennelong) retire as responsible entity of the Bennelong Kardinia Absolute Return Fund ARSN 156 292 625 (Fund) and Equity Trustees Limited ABN 46 004 031 298 AFS Licence Number 240 975 (Equity Trustees) be appointed as responsible entity for the Fund with effect from the date that the Australian Securities and Investments Commission (ASIC) changes the record of registration of the responsible entity of the Fund.” (Resolution)

Resolution passed

We wish to inform members that the Resolution has been PASSED by the required majority (at least 50% of all votes able to be cast by members entitled to vote on the Resolution).

Next steps

As the Resolution has passed:

(a) within 2 business days of the Resolution being passed, Bennelong Funds Management Ltd notified ASIC of the change in responsible entity and requested ASIC to update its records;

(b) the change of responsible entity became effective on Monday 8 May 2023 when ASIC confirmed to have altered its records;

(c) the name of the Fund will change to Kardinia Long Short Fund;

(d) on or as soon as practicable after the effective date of the change in responsible entity a new product disclosure statement for the Fund reflecting the change in responsible entity and the new name will be issued by Equity Trustees;

(e) Equity Trustees will appoint a new compliance committee to oversee the Fund’s compliance with its compliance plan;

(f) Equity Trustees will execute a Supplemental Deed to reflect the change in responsible entity and Fund name and lodge the executed Supplemental Deed with ASIC; and

(g) the application account and the correspondence address will change and Equity Trustees will advise investors accordingly.

Effective immediately we have issued a new Product Disclosure Statement and Additional Information Booklet for the Skerryvore Global Emerging Markets All-Cap Equity Fund. While the investment process has not changed, the updated documents have more detailed descriptions of the Fund’s investment process and methodology.

Name change for 4D Global Infrastructure Fund (ARSN 610 092 503)

28 April 2022

Effective immediately, the 4D Global Infrastructure Fund’s name has been changed to ‘4D Global Infrastructure Fund (Unhedged)’. Its investment team, objectives and processes remain unchanged.

The name change is in preparation for the launch of a hedged fund that will be made available to investors later this year. Further details will be provided when available.

The name change will not be reflected on any materials (including the fund’s Product Disclosure Statement) until the hedged fund is launched. In the interim, the existing PDS and forms dated 1 February 2022 can be used.

  • Change to the frequency of performance fees payments (from quarterly to monthly) for Bennelong Concentrated Australian Equities Fund and Bennelong ex-20 Australian Equities Fund. This is to match the timing of tax obligations to the ATO – the total amount of performance fees is not changing
  • Change to expected tracking error ranges for Bennelong Twenty20 Australian Equities Fund from above 2% to above 3% and for Bennelong Australian Equities Fund from 2-5% to above 5%. This is based on a thorough analysis of since inception ex post (actual) tracking error
  • Minor amendment to the Investment Objective wording of the 4D Global Infrastructure Fund and the 4D Emerging Markets Infrastructure Fund:
    • From: “The Fund’s objective is to identify quality listed global infrastructure securities, trading at or below fair value with sustainable, growing earnings combined with sustainable, growing dividends.”
    • To: “The Fund’s objective is to identify quality listed global infrastructure securities, trading below fair value with sustainable, growing earnings combined with sustainable, growing dividends.”

Name change for Quay Global Real Estate Fund (ARSN 610 224 381)

21 December 2021

Effective as of 21 December 2021, the Quay Global Real Estate Fund’s name has been changed to ‘Quay Global Real Estate Fund (Unhedged)’; its investment team, objectives and processes remain unchanged.

A new PDS reflecting the name change is due to be released in February 2022. In the interim, the existing PDS and application forms dated 1 December 2020 can be used.

The name change is in preparation for a hedged fund that will be made available to investors in the first quarter of 2022. Further details will be provided when available.


Unit pricing correction

17 December 2021

A recent unit pricing error was identified. Investors are not required to take any action and will have received personalised notifications about the resolution.

Which Fund was impacted?
The error was in relation to the Quay Global Real Estate Fund. Bennelong Funds Management Ltd acts as responsible entity for the Fund.

What happened?
The error occurred in the calculation of the performance fee accrual in the unit price, which saw some investors receiving fewer units or lower redemption proceeds than they were entitled to.

How has it been resolved?
To correct the error, existing investors have been credited units in their holdings, and impacted past investors have received payments into their nominated bank accounts. The crediting occurred 15 December 2021 based on the unit price values calculated the previous day.

We apologise for any inconvenience this has caused.

A new Product Disclosure Statement and Additional Information Booklet have been issued for the Skerryvore Global Emerging Markets All-Cap Equity Fund (‘Fund’). The Fund is a new offering that aims to invest responsibly in emerging markets.

Result of Wheelhouse Meeting of Members held on 5 August 2020

5 August 2020

At 10am today, a meeting of members of the Wheelhouse Global Equity Income Fund (ARSN 621 200 119) (Fund) was virtually held via Zoom to consider the following extraordinary resolution which was proposed in the notice of meeting dated 14 July 2020 (Notice of Meeting):

“That The Trust Company (RE Services) Limited (Perpetual) be appointed as the responsible entity of The Wheelhouse Global Equity Income Fund (ARSN 621 200 119) upon the retirement of Bennelong Funds Management Ltd as the responsible entity.”

We wish to inform members that the Resolution has been PASSED by the required majority (at least 50% of all votes able to be cast by members entitled to vote on the Resolution).

Next steps

As the Resolution has passed:

(a) within 2 business days of the Resolution being passed, Bennelong Funds Management Ltd will notify the ASIC of the change in responsible entity and request ASIC to update its records (the change of responsible entity is effective when the ASIC alters its records);

(b) a new administrator and custodian to the Fund, Mainstream Fund Services Pty Ltd, will be appointed and RBC will cease to provide these services;

(c) on or as soon as practicable after the effective date of the change in responsible entity a new product disclosure statement for the Fund reflecting the change in responsible entity and administrator will be issued by Perpetual;

(d) Perpetual will appoint a new compliance committee to oversee the Fund’s compliance with its compliance plan; and

(e) Perpetual will execute a Supplemental Deed to reflect the change in responsible entity and lodge the executed Supplemental Deed with ASIC.

Following a change of roles within the Investment Team, a Supplementary PDS has been issued for the Bennelong Kardinia Absolute Return Fund. If you are an existing investor in the Fund, this update will not result in any change to your unitholding. Product Update and Continuous Disclosure Notice - Bennelong ex-20 Australian Equities Fund

12 May 2020 

The Product Disclosure Statement (PDS) and Additional Information Booklet for the Bennelong ex-20 Australian Equities Fund (Fund) have been updated, effective immediately. Previously, when a stock held within the Fund graduated into the S&P/ASX 20 Index, it had to be sold out of the portfolio within 12 months. Under the new rule, the stock can be held for as long as the investment team deems it to be in the best interests of unitholders. An additional change to the PDS has been the inclusion of risks related to events beyond our reasonable control (e.g. fires, floods, pandemics). Refer to ‘Force majeure risks’. If you are an existing investor in the Fund, this update will not result in any change to your unitholding. If you are considering an investment in the Fund, please ensure you read the latest PDS.
